Terms & Conditions — Mintlight

Last updated: October 19, 2026

AGREEMENT TO OUR LEGAL TERMS

Mintlight ('we', 'us', or 'our') is an independent commercial software project operated by private individuals from Baramulla, Jammu and Kashmir, India, 193101. We operate as an independent software commercial enterprise.

We operate the website mintlight.online (the 'Site'), the web application suite and mobile interfaces of Mintlight (the 'App'), as well as any other related products and services that refer or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').

Mintlight is an intelligent cloud restaurant operating system designed to modernize how independent hospitality businesses interact with their guests. By integrating high-speed contactless QR ordering with autonomous Aura AI waiter recommendations, real-time Kitchen Display System (KDS) ticketing, recipe inventory tracking, and multi-country tax invoicing, Mintlight transforms restaurant floor operations into a seamless, data-driven workflow.

You can contact us by email at support@mintlight.online (or fallback mintmenu.care@gmail.com), by WhatsApp/phone at +91 91035 81870, or by mail to Baramulla, Jammu and Kashmir, India, 193101.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and Mintlight, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Notice of Material Modifications

We believe in treating our restaurant partners and users with fairness and transparency. We strive to provide at least fourteen (14) days' advance notice before material changes to these Legal Terms take effect via an in-app dashboard announcement, website notice, or email notification (where technically feasible and email delivery is configured). If you do not agree to the updated terms, you may cancel your subscription before the effective date with no penalty. Continued use of the Services after the effective date constitutes acceptance of the revised Legal Terms.

The Services are intended for commercial business use by adult merchants and adult diners who are at least 18 years old (or the legal age of majority in your jurisdiction). Menu browsing and table ordering by individuals between 13 and 17 years of age requires the permission and supervision of a parent, legal guardian, or adult dining party member. Children under 13 are not permitted to use or register for the Services.

We recommend that you print or save a copy of these Legal Terms for your records.

Clarification of Independent Identity: Mintlight is an independent project founded and operated from Baramulla, Jammu & Kashmir, India. Mintlight is NOT affiliated with, owned by, nor a subsidiary of, any third-party corporate entities registered under similar names in the United Kingdom, United States, or any other foreign registries.

3. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

Our Content and Marks are protected by copyright and trademark laws and treaties around the world. The Content and Marks are provided in or through the Services 'AS IS' for your personal, non-commercial use or internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose.

Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your submissions and contributions

Submissions: Feedback, questions, suggestions, or ideas submitted directly to us ('Submissions') shall become our intellectual property for lawful use without obligation of compensation.

Contributions: Content you submit to public or communal areas of the Services ('Contributions') remain your property, subject to the limited operational license in Section 10.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

(1) all registration information you submit will be true, accurate, current, and complete;

(2) you will maintain the accuracy of such information and promptly update registration details as necessary;

(3) you have the legal capacity and agree to comply with these Legal Terms;

(4) you are at least 18 years old, or, if between 13 and 17 years of age, you are accessing the Services with the permission and supervision of a parent or legal guardian;

(5) you will not access the Services through automated or non-human means (except standard search engine indexing);

(6) you will not use the Services for any illegal or unauthorised purpose; and

(7) your use of the Services will not violate any applicable law or regulation.

5. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove or reclaim usernames deemed inappropriate, obscene, or infringing upon third-party trademarks.

6. PURCHASES AND PAYMENT

We accept the following forms of payment for platform subscriptions:

  • Visa, Mastercard, American Express
  • Dynamic UPI & Local Net Banking (where supported)
  • Merchant of Record (Dodo Payments)

    Dodo Payments serves as our Merchant of Record for all software subscription transactions. All subscription payments are processed by Dodo Payments. By purchasing a paid subscription tier, you agree to Dodo Payments' terms of service and privacy policy. Dodo Payments handles statutory tax remittance, card security, and billing compliance.

    Restaurant Payment Gateway Integration & API Key Authorization

    When you connect third-party payment gateways (such as Stripe or Razorpay) to your restaurant account:

    1.
    Limited Technical Authorization: You authorize Mintlight to securely store your provided API credentials in encrypted form (using application-level AES-256-GCM encryption) and to programmatically communicate with your payment gateway solely to:
  • Facilitate direct diner order payments into your merchant account;
  • Automatically configure and maintain secure webhook endpoints to confirm table orders and payment statuses;
  • Record non-custodial transaction audit logs (payment_logs) for dispute and accounting reconciliation; and
  • Transmit refund instructions that are explicitly initiated and authorized by you or your authenticated staff via the Mintlight POS or dashboard.
  • 2.
    Merchant Sole Discretion on Dining Refunds: Mintlight does NOT hold, escrow, or intermediate dining transaction funds. Mintlight will never independently or unilaterally issue refunds from your connected payment gateway account without your authorization. All refund decisions, dispute resolutions, and chargeback defenses for food orders remain the exclusive prerogative and responsibility of the restaurant.
    3.
    Audit Trails & Credentials Control: You can disconnect your payment gateway or rotate your API keys at any time directly from your payment processor console or Mintlight settings. Mintlight maintains an immutable operational audit log of payment events to ensure complete transparency.

    You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services, and to promptly update account and payment information as necessary.

    7. SUBSCRIPTIONS, REFUNDS & SLA CREDITS

    Billing and Renewal

    Your software subscription automatically renews on a recurring monthly or quarterly basis unless cancelled. You consent to charging your payment method on a recurring basis until you cancel the subscription.

    14-Day Money-Back Guarantee (First-Time Subscribers)

    We believe in the quality of our platform. If you are a first-time subscriber and find that Mintlight does not meet your restaurant's operational needs, you may request a full 100% refund within fourteen (14) days of your initial paid subscription purchase by contacting support@mintlight.online.

    Cancellation Policy

    Following the initial 14-day window, you may cancel your subscription at any time via your dashboard or Dodo Payments customer billing portal. Your cancellation takes effect at the end of the current billing cycle, with full access maintained until that date.

    SLA Uptime Credits (99.9% Availability Commitment)

    Mintlight is engineered for high-availability cloud operations. If our core ordering and menu services experience unexpected downtime that drops monthly availability below 99.9% (excluding scheduled off-peak maintenance, localized ISP disruptions, and upstream third-party cloud infrastructure outages, e.g., Supabase, Vercel, or payment processor APIs), active subscribers are entitled to a prorated subscription credit for the impacted period upon written request within 30 days of the incident.

    Restaurant Dining Checkout & Customer Grievance Enforcement

    When a diner places an order through a restaurant's digital QR menu, the food sale is a direct transaction between the diner and the individual restaurant. Dining payments are settled directly into the restaurant's bank account via Stripe, Razorpay, UPI QR, or Cash. Mintlight does not hold, escrow, or intermediate dining funds.

    Diner Protection & Restaurant Accountability: While food preparation, ingredient sourcing, and financial refunds remain the restaurant's direct responsibility, Mintlight is not indifferent to diner welfare. If a restaurant engages in verified fraud, deliberate double-charging, systematic refusal to fulfill paid orders, or serious hygiene violations, diners may submit a formal complaint to support@mintlight.online or WhatsApp +91 91035 81870. Mintlight investigates all credible reports and reserves the right to issue formal warnings, temporarily suspend, or permanently ban non-compliant restaurants from the Mintlight platform to preserve community trust.

    7A. AFFILIATE (ECHO PARTNER) COMMISSIONS

    Commission Structure

    Echo Partners earn a recurring commission of 20% on paid subscription fees received from restaurants they refer, calculated on net subscription amounts after taxes and processing fees.

    24-Month Recurring Revenue Share Term

    Recurring affiliate commissions are paid on active referred subscriptions for a guaranteed term of twenty-four (24) months from the date of the restaurant's first paid subscription. We reserve the right to extend terms on a discretionary basis.

    Payout Terms

    Payouts are disbursed via PayPal or Direct Bank Transfer subject to standard third-party processing fees and a minimum payout threshold of $10 USD.

    Termination of Affiliate Status

    We reserve the right to suspend or terminate partner participation in the event of fraud, self-referral, or deceptive advertising. Legitimate commissions accrued prior to termination will be settled during the next standard payout cycle.

    8. PROHIBITED ACTIVITIES

    You may not use the Services for any unauthorized or harmful purpose. Prohibited activities include:

  • Systematically scraping or retrieving data to create a competing product.
  • Defrauding or misleading other users or attempting to obtain credentials.
  • Circumventing security measures or rate limits.
  • Malicious Table Manipulation: Scanning QR codes or placing orders for tables you are not physically seated at.
  • Order Sabotage: Submitting fictitious or abusive orders intended to disrupt restaurant kitchen operations.
  • Automated Ordering (Bots): Using scripts or spiders to interact with menus or place orders.
  • QR Code Tampering: Physically or digitally altering, replacing, or overlaying restaurant QR codes.
  • AI Prompt Injection: Attempting to jailbreak or compromise Aura AI systems.
  • Impersonation: Creating accounts or menus falsely claiming to represent brands you do not own.

  • 9. USER GENERATED CONTRIBUTIONS

    The Services may invite you to submit menu content, dish descriptions, photos, and reviews ('Contributions'). You warrant that your Contributions do not infringe third-party intellectual property, are not defamatory, and comply with applicable food labeling regulations.

    10. CONTRIBUTION LICENCE & PUBLIC CDN ASSETS

    You retain 100% ownership of your Contributions (including dish recipes, photos, and restaurant branding). You grant Mintlight a non-exclusive license to host, format, and display your Contributions solely to deliver the digital menu, KDS ticketing, and POS services.

    Public CDN Distribution: You acknowledge and agree that menu dish photographs, logos, item descriptions, and category names uploaded to the Services are intentionally distributed through public Content Delivery Networks (including ImageKit and Supabase Storage) to ensure fast mobile rendering for diners scanning your QR codes without requiring authentication friction.

    11. GUIDELINES FOR REVIEWS

    Reviews must reflect genuine dining experiences, must not contain profanity or abusive language, and must not be posted by commercial competitors. We reserve the right to moderate reviews violating these standards.

    12. MOBILE APPLICATION LICENCE

    If you access the Services via mobile applications, we grant you a revocable, non-exclusive, limited licence to install and use the application on devices owned or controlled by you, strictly in compliance with these Legal Terms.

    13. SOCIAL MEDIA & AUTHENTICATION (GOOGLE OAUTH)

    You may link your account or authenticate with third-party identity providers (such as Google OAuth).

    Google OAuth Identity Authentication (Zero Dining Data Shared):

    To protect restaurants from malicious table orders and provide diners with real-time dining tab updates, order placement requires signing in with Google OAuth.

  • Google OAuth is utilized strictly for cryptographic identity authentication (OpenID Connect: verifying email, name, and profile picture).
  • Google does NOT receive, observe, or store your order items, dining history, cart contents, or payment totals.
  • No dining or transaction data is ever shared with Google.

  • 14. THIRD-PARTY WEBSITES AND CONTENT

    The Services may contain links to external third-party websites. We are not responsible for the content, privacy practices, or accuracy of third-party platforms.

    15. ADVERTISERS

    We allow advertisers to display advertisements in designated areas of the Services. We simply provide the technical placement space and bear no liability for advertiser products.

    16. SERVICES MANAGEMENT

    We reserve the right to monitor the Services for violations of these Legal Terms and take administrative action against any party violating applicable laws or compromising platform integrity.

    17. PRIVACY POLICY & DATA PROTECTION ROLES

    Please review our Privacy Policy at mintlight.online/privacy.

    Data Fiduciary vs. Data Processor Roles (DPDPA 2023 & GDPR)

    1.
    The Restaurant as Data Fiduciary / Controller: The restaurant decides which customer information to collect and owns the direct customer relationship with its diners. The restaurant warrants that it provides proper notice to diners.
    2.
    Mintlight as Data Processor: Mintlight processes diner data (Google account identifiers, customer names, phone numbers, order lines, table identifiers) solely on behalf of and under the technical instructions of the restaurant for order routing, KDS preparation, receipt delivery, and settlement.

    Restaurant Guest Ledger Access & Marketing Tools Compliance

    1.
    Guest Ledger & Spending Insights: To facilitate restaurant operations, dining room management, and loyalty programs, Mintlight provides the restaurant with access to its operational guest ledger (including diner names, emails captured at checkout, order history, visit frequency, and spending totals).
    2.
    Promotional Marketing Compliance: If the restaurant utilizes Mintlight tools to send promotional offers, SMS alerts, or email campaigns to diners:
  • The restaurant warrants that it will send marketing communications only to diners who explicitly opted in (e.g. via checkout checkbox);
  • Every promotional dispatch must include an easily accessible, functioning one-click unsubscribe mechanism;
  • The restaurant must immediately honor all opt-out or unsubscribe requests; and
  • The restaurant warrants full compliance with all applicable anti-spam and telemarketing regulations (including CAN-SPAM, TCPA, DPDPA, and GDPR).

  • 18. TERM AND TERMINATION

    These Legal Terms remain in full force while you use the Services. We reserve the right to suspend or terminate access for breach of these Legal Terms.

    19. MODIFICATIONS AND INTERRUPTIONS

    While we engineer for 99.9% cloud availability, we cannot guarantee zero interruptions and shall not be liable for losses caused by general cloud network interruptions, ISP failures, or emergency maintenance, subject to our SLA downtime credit policy in Section 7.

    20. GOVERNING LAW

    These Legal Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

    21. DISPUTE RESOLUTION & VIRTUAL ARBITRATION

    Informal Resolution First

    To resolve disputes efficiently and fairly, any dispute arising out of or relating to these Legal Terms shall first be submitted to informal resolution via direct discussions with the founders (email: support@mintlight.online, WhatsApp: +91 91035 81870, or video conference) for at least thirty (30) days prior to initiating formal proceedings.

    Virtual Arbitration & Accessible Dispute Proceedings

    If informal discussions fail to resolve the dispute, the dispute shall be resolved through binding, expedited arbitration under the Arbitration and Conciliation Act of India. To prevent undue hardship on international and non-local users, all arbitration hearings and proceedings may be conducted virtually (via video conference), eliminating the requirement for physical travel.

    22. CORRECTIONS

    We reserve the right to correct typographical errors, inaccuracies, or omissions on the Services at any time without prior notice.

    23. BALANCED DISCLAIMERS & OPERATIONAL LIMITATIONS

    Balanced Aura AI Feature Warranty & Hallucination Reality

  • Conversational Guide Only (Not a Medical Tool): Aura AI operates as an intelligent conversational dining assistant, pairing recommender, and hospitality interface. Aura AI is an informational reference tool, not a certified food safety or medical diagnostic instrument.
  • Strict Menu Grounding vs. Hallucination Reality: Mintlight implements rigorous prompt engineering and system guardrails ensuring Aura AI answers queries based strictly on the dish recipes, descriptions, and dietary tags provided by the restaurant. However, users acknowledge that all Artificial Intelligence systems can occasionally misinterpret prompts or produce hallucinations.
  • Mandatory Severe Allergen Rule: Because acute food allergies can be life-threatening and cannot be outsourced to automated software, diners with severe, anaphylactic, or medical food allergies must always confirm ingredients directly with human kitchen staff before ordering or consuming any item.
  • Restaurant Catalog Responsibility: The restaurant is solely responsible for maintaining complete, accurate, and up-to-date ingredient formulas, cross-contamination warnings, and allergen tags in its menu catalog.
  • AI Menu Digitizer (Automated Drafting Assistant)

  • Drafting Tool Only: Mintlight's AI Menu Digitizer utilizes optical character recognition (OCR) and vision-language models to extract dish titles, descriptions, pricing, and category hierarchies from uploaded menu images and PDF documents. The digitizer operates strictly as an automated preliminary drafting assistant.
  • OCR Limitations & Imperfections: Vision models may occasionally misread low-resolution images, misparse decimal points, confuse currency symbols, or misinterpret handwritten or stylized typography.
  • Mandatory Merchant Verification: The restaurant operator must thoroughly review, edit, and verify all extracted items, prices, dietary tags, and category assignments in the Mintlight dashboard before publishing the digital menu to live diners.
  • Pricing & Menu Error Disclaimer: Mintlight bears no liability for lost revenue, undercharged items (e.g. an item mistakenly priced at \$1 instead of \$10), customer pricing disputes, or omitted allergen warnings resulting from an unverified or improperly reviewed AI-digitized menu draft.
  • Cryptographic Security Boundaries

    Application-level encryption (AES-256-GCM) is implemented for third-party credentials (restaurant Stripe Secret Keys, AI Provider API tokens). Standard business records, menus, and order ledgers are protected by PostgreSQL Row-Level Security (RLS) tenant isolation and cloud infrastructure block storage encryption.

    Tax Compliance & Invoicing Disclaimer

    Automated tax calculations (India GST, US Sales Tax, UK VAT, Australia GST, Singapore GST) are provided as administrative utilities. The restaurant is responsible for verifying applicable local rates and submitting required tax filings to statutory authorities.

    Hardware & Thermal Printing Disclaimer

    Mintlight provides standard WebUSB and Bluetooth ESC/POS printing interfaces. Mintlight is not liable for kitchen delays resulting from physical paper jams, printer hardware failures, or local Wi-Fi drops.

    24. FAIR LIMITATIONS OF LIABILITY

    IN NO EVENT WILL WE, OUR FOUNDERS, AGENTS, OR EMPLOYEES BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR FOOD SPOILAGE ARISING FROM YOUR USE OF THE SERVICES.

    FAIR B2B LIABILITY CAP:

    NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS WHATSOEVER ARISING OUT OF OR RELATED TO THE SERVICES WILL AT ALL TIMES BE LIMITED TO THE ACTUAL TOTAL SUBSCRIPTION FEES PAID BY YOU TO MINTLIGHT IN THE PRECEDING TWELVE (12) MONTHS PRIOR TO THE CAUSE OF ACTION ARISING.

    25. BALANCED INDEMNIFICATION

    The restaurant agrees to defend, indemnify, and hold harmless Mintlight against claims or demands arising out of: (1) food safety, quality, or food-borne illness originating from kitchen preparation; (2) inaccurate ingredient or allergen information inputted into the restaurant's catalog by the restaurant; (3) breach of these Legal Terms; or (4) violations of diner privacy resulting from restaurant staff conduct. The restaurant is NOT required to indemnify Mintlight for claims arising directly from platform-level software defects or Mintlight security breaches.

    26. USER DATA, RETENTION & TAX AUDIT INVARIANTS

    Data Maintenance

    We maintain data transmitted to the Services to manage platform performance and fulfill dining orders. Under applicable data protection laws (including DPDPA 2023), Mintlight acts as a Data Processor for restaurant dining data and enforces strict technical safeguards.

    Statutory Financial Retention Limits (Tax Law Precedence)

    Pursuant to statutory tax, fiscal, and commercial accounting regulations (including Indian CGST rules, US State Sales Tax, and UK HMRC mandates), completed order snapshots, invoice numbers, tax breakdowns, and customer transaction records must be preserved for a statutory retention period of five (5) to seven (7) years. Statutory retention requirements supersede general requests for immediate ledger destruction.

    72-Hour Security Breach Notification Commitment

    In the unlikely event of a confirmed security incident or unauthorized data breach resulting in the compromise of merchant account credentials, payment integration tokens, or diner personal data, Mintlight will notify affected restaurant operators via email or in-app dashboard alert within seventy-two (72) hours of confirmation, detailing the nature of the event, the data scope involved, and immediate remediation steps taken.

    27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

    Using the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic agreements, notices, and transactions satisfy any legal requirement that such communications be in writing.

    28. MISCELLANEOUS

    These Legal Terms and any operating rules posted by us constitute the entire agreement between you and us. Our failure to enforce any right shall not operate as a waiver. If any provision is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the enforceability of remaining provisions.

    29. PRECAUTIONARY NOTICE & BETA TERMS

    Mintlight operates as an evolving modern cloud restaurant platform. While core operational workflows (QR menu browsing, POS ordering, KDS tickets, and billing) are production-ready, auxiliary features and third-party integrations may receive ongoing enhancements. Users assume standard commercial operational risks.
